End of Year Promotion – 2025 – Terms and Conditions

1. Promotion Eligibility
This promotion is exclusively available to prospects who do not currently have an active Atera subscription (“Prospect(s)”).
To qualify, Prospects must:

• Purchase an annual Atera’s Pro / Growth / Power / Professional / Expert / Master Plan.
• Complete the purchase directly through Atera (and not through an Atera partner or reseller).
• Purchase will be completed by December 31, 2025, at 11:59 PM EST.

2.Promotional Offer Details

Prospects who purchase the annual subscription, as specified above, will receive 3 additional months for free (total of 15 months subscription for the relevant plan) (an “Extended Subscription Period”). Additionally, with respect to Atera AI Copilot: (i) Prospects purchasing an annual Atera AI Copilot license through an Atera representative will receive 3 additional months for free (total of 15 months of Atera AI Copilot); (ii) Prospects purchasing Atera AI Copilot self-served (not through an Atera representative) will receive the first month at full price, followed by 3 months of Atera AI Copilot for free; starting from the 5th month, standard pricing will apply at full price.

3. Promotion Purchase Requirements

• All purchases must be completed by December 31, 2025, at 11:59 PM EST.
• All payments are billed annually and are non-refundable.

4.Duration of Promotion
The offer under this promotion is valid for one year only from the date of purchase. Following the lapse of your first subscription year, standard rates will apply.

5. Non-Compliance and Adjustments

Failure to meet the minimum requirements for any reason may result in the removal of the offer or other pricing adjustments, at Atera’s sole discretion.

6. Non-Transferability

This promotion cannot be transferred, exchanged, or combined with other offers.

7. Subscription Changes

• If a customer upgrades their plan during the promotional period, the new pricing will apply based on the then-current annual rates.
• If a customer downgrades their plan, any applicable discounts may be removed, and the new pricing will reflect the standard rates.

8. Modification or Termination

Atera reserves the right to modify, suspend, or terminate this promotion at any time, at its sole discretion, without prior notice.
