Dear Employee/Applicant, your privacy is important to us, and therefore we wish to inform you how we, Atera Networks Ltd. (“the Company“), use your personal information and what your rights are. The details collected or provided by you when applying for a position, during the recruitment and admission process, and/or details that will be collected about you during your employment at the Company are stored in our database in accordance with legal provisions and as detailed in this Privacy Policy.

The database is intended for the purpose of reviewing job applications at the Company; and for the purpose of managing the Company’s workforce and payroll, employee benefits, tracking training, professional development, forming opinions about employees, and everything required in the context of employment and employee management. We may also use the database, and are even required to do so in accordance with any legal obligation, and in particular tax laws and privacy protection laws, including the Privacy Protection Law, 5741-1981, and the regulations enacted thereunder, including the Privacy Protection Regulations (Data Security), 5777-2017.

This Privacy Policy will apply to you in accordance with your role in the Company, and according to our need to use information about you. We are careful to allow only those who are required to do so by virtue of their position in the Company to access personal information, and we protect it in accordance with legal provisions.

1. What Personal Information Does the Company Collect?

Applicants. For the purpose of reviewing your application, personal information about you is provided or collected with your consent and without any legal obligation on your part to provide it. If you choose not to provide us with information for which your consent is required, this may affect our ability to review your application.

If you submit a job application to the Company, the Company will collect, process, and use the following categories of personal data about you, as needed (“Personal Information“):

1.1 Information included in resumes, recommendations, certificates, etc., sent as part of your application;

1.2 Information received from parties engaged in occupational diagnosis, assessment of suitability for the position, and/or reliability tests;

1.3 Identification data and contact details, such as your name, home address, email address, telephone number, and ID card number;

1.4 Information on professional experience and education, including education data, cover letter for job acceptance (if any), training history, etc.;

Employees. As part of the Company’s activities and for the purpose of your lawful employment, you have a legal obligation to provide us with certain personal information, while other personal information is collected by us with your consent and willingly, and without you having a legal obligation to provide it as stated. If you choose not to provide us with information for which your consent is required, this may affect our ability to enable your employment and grant you rights granted to you by law or by your employment agreement. Accordingly, the Company will collect, process, and use the following categories of personal data about you, in addition to the categories detailed above, in the context of your employment at the Company (“Personal Information“):

1.1 Demographic information such as date of birth, gender, country of birth, marital status information, address, and information on geographical relocations;

1.2 Information about your position in the Company, type and scope of position, emergency contact details, start and end dates, work history, and authorizations you have received;

1.3 Signature, health insurance, as well as other information issued by state authorities;

1.4 Financial and economic information, including about your salary and benefits in the context of your work, such as your base salary, bonus and commission entitlements, insurance benefits, and pension plans;

1.5 Information about your equity compensation, such as the amount of shares or directorships and details of any other entitlement to shares granted to you;

1.6 Information on liabilities and assets, such as information on loans, collection proceedings, and vehicles;

1.7 Audio and video recordings of telephone and computer conversations in the course of work or video footage from security cameras;

1.8 Your performance review in the context of your work at the Company, evaluations, organizational feedback conversations, ratings, information on disciplinary proceedings and disciplinary warnings, and details of complaints;

1.9 Information on vacation/absence dates, training/education leave, or medical leave;

1.10 Medical information such as sick leave certificates, pregnancy certificates, and other health data, as may be shared with the Company in accordance with applicable laws;

1.11 Information on religious affiliation, for example, kosher phone, holiday leave dates, and kosher preferences;

1.12 Family connections and family tree;

1.13 Any information collected about you and your family in the context of government and other forms, such as Form 101;

1.14 Access data to systems and applications – usernames and passwords for logging into systems and other identifying marks for access purposes;

1.15 Cameras. The Company’s public areas are filmed and recorded by a system of security and surveillance cameras which are visible and appropriate signage has been displayed informing of their existence. The use of the cameras is intended for the purposes of preventing and detecting offenses, protecting and safeguarding the Company’s assets and its employees, all in accordance with our camera usage policy, which is designed to protect employee privacy. The cameras will not be used to monitor individual workstations, except in exceptional cases and as permitted by law. 2. Why Does the Company Need to Collect and Process My Personal Information?

Applicants. If you are applying for a position at the Company or starting a recruitment process, we collect and use your personal information for the following purposes:

2.1 For the purpose of reviewing your application for a position and managing the recruitment, hiring, and admission process;

2.2 To communicate with you and respond to your inquiries and requests;

2.3 To send you updates regarding other positions at the Company that may be relevant to you;

Employees. If you are hired by the Company, in addition to the above, we will collect and use your personal information for the following purposes:

2.4 For the purpose of managing payroll and benefits, including reporting on entitlements and use of tax and other benefits;

2.5 For the purpose of managing our workforce, including managing work activities, providing performance evaluations and sales promotion, performance review, and interaction with clients, producing and maintaining organizational charts;

2.6 For the purpose of operating computer systems and support to enable you and others to perform your work and to enable us to identify and resolve problems in our IT systems and for the purpose of securing our systems and information.

2.7 For the purpose of complying with applicable laws and requirements related to employment along with managing these requirements, such as income tax, National Insurance deductions, and labor and immigration laws, including processing identification data and personal information about you.

2.8 For the purpose of ensuring compliance with policies, procedures, and applicable laws, including conducting internal audits, which include processing identification data, your use of the Company’s computers, systems or software, professional email, internet, telephones, and any device belonging to the Company;

2.9 For the purpose of communicating with you, and with other employees and third parties (as relevant to your work).

2.10 For the purpose of registering and documenting your presence at the Company, for the purpose of managing your onboarding and recruitment process to the Company;

2.11 For the purposes of documentation, control, and legal defense.

3. With Whom May the Company Share and Transfer Personal Information?

The Company may transfer personal information about you to third parties in the following cases for the sole purpose of carrying out the above purposes, where the information may also be transferred to suppliers and third parties in other countries, including the U.S.:

3.1 To its business partners, subsidiaries or affiliated companies, and other third parties;

3.2 In the event of a merger, or potential acquisition, purchase transaction, etc.

3.3 To service providers who assist us in the day-to-day operation of the Company, attendance and payroll systems, systems that manage your recruitment processes to the Company (including conducting the relevant entrance tests), tax authorities, National Insurance, banks, pension funds, etc.

3.4 To service providers and entities that operate various activities or benefits that we hold and offer to our employees.

3.5 If required to do so by law, by court order, or by instruction from a competent authority.

3.6 In the event of legal proceedings and in any dispute, claim, lawsuit, or demand to which we are a party.

3.7 We may disclose the information if we have reasonable grounds to believe that disclosure of the information assists or is necessary to: (a) comply with the provisions of any law; (b) enforce our Terms of Use; (c) defend against harm to the rights, property, or safety of any person or corporation.

4. What Rights Do You Have Regarding Your Personal Information?

4.1 Right of Access and Inspection. You have the right to request access to the personal information processed about you. However, we must take into account other interests, so this is not an absolute right.

4.2 Right to Rectification and Erasure. You may have the right to request the rectification of inaccurate, outdated, or incomplete personal information concerning you.

4.3 For any question, inquiry, or request regarding your rights and the Company’s privacy policy, you are welcome to contact the Company’s legal counsel.

5. Computers, phones, software, and other digital means

5.1 The use of computers, phones, software, and other digital means provided by the Company is subject to the terms outlined in your employment agreement. Additionally, all usage must adhere to the Company’s security policies, including the Acceptable Use Policy, which governs proper and responsible use of these resources to ensure compliance and protect proprietary information.

6. Miscellaneous

6.1 We reserve the right to update this policy at any time, and we will provide you with new notice when we make material updates. We may also notify you in other ways from time to time about the processing of your personal information.

6.3 Nothing in this policy shall detract from the provisions of your employment agreement.
